1. Provider and contracting party
Lytheron Cloud and connected services are operated and supplied by Lytheron OÜ, based at Tuukri tn 19-202, Kesklinna linnaosa, 10120 Tallinn, Estonia. The contract for Lytheron services and subscriptions is entered into with Lytheron OÜ, which issues invoices and any tax documents. Send legal or administrative communications to legal@lytheron.com. Registration details: Estonian registry code 17311276 · VAT EE102894091.
2. Acceptance and authority
You accept these Terms by creating an account, activating a product, purchasing a plan, accepting an order referring to them or using the service after gaining access. If acting for a company or other organisation, you represent that you have authority to bind it. In that case, “customer” means the organisation represented.
3. Professional use
The service is primarily designed for businesses, professionals, entities and organisations. Unless an offer expressly targets consumers, the customer represents that it uses the service for professional purposes. Mandatory consumer rights remain applicable whenever their legal conditions are met.
4. CMMS service and plan scope
Lytheron Cloud manages sites, assets, work orders, maintenance, deadlines, spare parts, documents and reports. Available functions depend on the plan and activated modules. Other Lytheron OÜ projects are separate services unless expressly agreed.
Sites, users, limits, prices, billing periods and taxes are those shown before purchase or in the accepted order. Dashboards and reports support customer decisions; closing a ticket or completing a checklist does not certify equipment compliance or replace inspections by qualified professionals.
5. Accounts, organisations and users
You must provide accurate, current and complete information. Credentials are personal and must be protected with reasonable measures. The customer is responsible for invited users, assigned roles and activities within its organisation. At least one authorised organisation owner must be maintained.
You must promptly report suspicious access, lost credentials or unauthorised use. You may not share individual accounts among multiple people or circumvent plan limits.
6. Orders, plans and trials
An order may be concluded through online checkout, a quotation, an order form or another document accepted by the parties. In a conflict, the order of precedence is: the order form or specific agreement; the Data Processing Addendum for privacy matters; these Terms; and the referenced policies.
Free trials, promotional credits or free plans may have specific limits and may be changed or ended on reasonable notice. Trial data and features may be restricted at expiry if no paid plan is activated.
7. Prices, payments and renewal
Prices, currency, billing frequency, taxes and final terms are displayed before purchase. Unless otherwise stated, subscriptions renew automatically for successive periods equal to the initial period until cancelled. The customer authorises charges to the payment method associated with its account for amounts due and renewals.
If payment fails, we may retry the charge, request an updated payment method, restrict features or suspend service after reasonable notice. Overdue amounts remain payable.
8. Invoices, taxes and tax details
Invoices are issued by Lytheron OÜ using customer-provided details. The customer is responsible for the accuracy of its business name, address, country, tax identification number, VAT number and other required details.
Prices and taxes may vary by location, tax status, service type and applicable law. Where required, the customer must apply reverse charge, withholding or other tax procedures. If withholding is mandatory, the customer must provide the necessary documentation and, unless prohibited by law, ensure that the net amount received equals the amount due.
9. Cancellation and refunds
You may cancel renewal through available features or by contacting support before the renewal date. Unless specific terms or mandatory law provide otherwise, cancellation takes effect at the end of the paid period, and payments are non-refundable and cannot be apportioned.
If Lytheron permanently discontinues a paid service without offering a reasonable replacement, it may grant a pro-rata refund for the unused prepaid period.
10. Content and customer responsibilities
The customer retains rights to uploaded or published content. It represents that it has the rights, permissions and legal bases needed to use images, trademarks, files, contacts, personal data, asset technical data, intervention reports, costs, deadlines and all other content.
The customer grants Lytheron a limited, non-exclusive, worldwide licence lasting for the service term, as necessary to host, reproduce, technically transform, transmit and display content solely to deliver, protect and improve the service under the contract.
The customer is responsible for accurate, current content, including information affecting health, safety, maintenance, equipment availability, deadlines or disclosure obligations towards its users.
11. Lytheron intellectual property
Software, interfaces, design systems, trademarks, logos, documentation, platform structure and materials supplied by Lytheron remain the property of Lytheron OÜ or their respective licensors. The customer receives a limited, revocable, non-exclusive, non-transferable right to use the service during the relationship within the purchased plan's limits.
Copying, resale, sublicensing, reverse engineering, code extraction, building competing services through systematic access or removing ownership notices is prohibited, except to the extent mandatorily permitted by law.
12. Service feedback
Suggestions, ideas or comments voluntarily submitted about Lytheron may be used to develop and improve the service without compensation, provided customer confidential information is not disclosed and personal data is not disclosed beyond what is necessary.
13. Acceptable use
The customer and its users must comply with the Acceptable use policy. The service must not be used for unlawful, deceptive or abusive activities, infringement of third-party rights, or activities capable of compromising security, availability, data isolation, domain reputation or infrastructure.
14. Data protection
Processing by Lytheron as controller is described in the Privacy notice. When Lytheron processes personal data on behalf of the customer, the Data Processing Addendum applies. Principal providers are listed on the Subprocessors page.
15. Confidentiality
Each party must protect the other's non-public information with at least the same care it uses for its own confidential information and in all cases with reasonable care. Information may be used only to perform the contract and disclosed only to personnel, advisers or providers who need it and are subject to appropriate obligations.
Information is not confidential if already public without breach, lawfully known, received from a third party without an obligation, or independently developed. Legally compelled disclosure is permitted to the necessary extent and, where possible, with prior notice to the other party.
16. Third-party services
The service depends on infrastructure, database, authentication, email and payment providers. Some features may link to third-party websites or services subject to their own terms. Lytheron selects and manages providers with reasonable diligence but does not control external services used directly by the customer outside the intended integration.
17. Security and shared responsibility
Lytheron adopts proportionate technical and organisational measures as described on the Security page. The customer must properly manage roles, credentials, devices, permissions, exports, content and configuration. No system can be guaranteed completely risk-free.
18. Availability, maintenance and changes
We may update the service for security, maintenance, performance, technical development, provider requirements or regulatory compliance. We seek to minimise interruptions and communicate material changes. Unless separately agreed in a written SLA, no particular availability percentage is guaranteed.
19. Suspension
We may restrict or suspend accounts, organisations, content or features for non-payment, contractual breach, security risk, abuse, authority requests, impact on other customers or an urgent need to protect the service. Where reasonably possible, we provide notice and an opportunity to remedy.
20. Termination, export and deletion
Either party may end the relationship under the applicable plan or order. A party may terminate for a material breach not remedied within a reasonable period specified in notice, or immediately for serious breach, insolvency, unlawful use or an irremediable risk.
Before termination, the customer must export data using available features. Afterwards, access may be disabled and data deleted or returned under the Data Processing Addendum, subject to legal obligations, temporary backups or the protection of rights.
21. Warranties and representations
Lytheron warrants that it will provide the service with reasonable skill and care and substantially in accordance with applicable documentation. Subject to mandatory warranties, the service is supplied “as is” and “as available”; we do not warrant that it meets every particular need, is uninterrupted or that every error can be eliminated.
22. Limitation of liability
To the extent permitted by law, neither party is liable for indirect damage, loss of profit, revenue, opportunity, goodwill or data avoidable through reasonable backups. Lytheron's aggregate liability arising from the service does not exceed amounts paid or payable by the customer for the affected service in the twelve months preceding the event giving rise to the claim; for a free service, the limit is EUR 100.
These limits do not apply where prohibited by law, or to wilful misconduct, gross negligence, breach of confidentiality obligations, unlawful use of intellectual property, payment obligations or liability that cannot be excluded.
23. Indemnity for customer content and use
To the extent permitted by law, the customer indemnifies Lytheron against third-party claims arising from customer-uploaded content, infringement of others' rights, unlawful use of the service or failure to meet disclosure obligations to its users, except insofar as the claim results from a breach attributable to Lytheron.
24. Force majeure
Neither party is liable for delay or non-performance caused by events beyond its reasonable control, including widespread network or cloud failures, large-scale attacks, public measures, conflicts, natural disasters, fires, strikes or critical provider unavailability, provided it takes reasonable steps to limit their effects.
25. Communications
Operational communications may be sent to the account email, displayed in the dashboard or published on the website. Legal communications to Lytheron must be sent to legal@lytheron.com. The customer must keep its contact details current.
26. Changes to the Terms
We may update these Terms for service development, security or legal or commercial requirements. Material changes will be communicated with reasonable notice. If the customer does not accept a material change applying to the next period, it may cancel renewal before the change takes effect.
27. Assignment, severability and waiver
The customer may not assign the contract without written consent, except for a corporate reorganisation that does not reduce payment or compliance assurances. Lytheron may assign it as part of a merger, reorganisation, business sale or service transfer. If a clause is invalid, the others remain effective and that clause is interpreted in the valid manner closest to its original purpose. Failure to exercise a right is not a waiver.
28. Entire agreement
These Terms, the applicable order, the Data Processing Addendum and referenced policies constitute the entire agreement for the service and supersede earlier arrangements on the same subject, except written agreements expressly intended to prevail.
29. Governing law and jurisdiction
These Terms are governed by laws of the Republic of Estonia. Subject to mandatory jurisdiction rules, the exclusive forum is Harju County Court, Tallinn, Estonia. Before commencing proceedings, the parties will seek in good faith to resolve the dispute through written communication and reasonable discussion.
